Welcome to Designworks Agency. In these Terms and Conditions, “Designworks Agency” will be referred to as “Designworks,” or “we.” By engaging with our services, you agree to abide by the terms outlined below.

1. Purchased Hours:
1.1. Any purchased hours, including membership subscription hours, additional hours and rollover hours, are non-refundable.
2. Subscriptions:
2.1. Use of Hours:
2.1.1 Any unused hours for a month can be rolled over to the following month for a maximum of one month.
2.1.2 When rollover hours are used, regular paid hours are utilized first, followed by hours from the previous month.
2.1.3 If any rolled over hours from the previous month remain unused by the end of the month they were rolled over to, they will be removed from the account.
2.1.4 Unused hours cannot be reimbursed or exchanged for cash.
2.1.5 While Designworks always wants to accommodate requests for additional hours and although it’s rare, we reserve the right to refuse requests for additional hours. This refusal may occur due to scheduling constraints and to ensure the quality and timely delivery of services to all our clients.
2.1.6 If all the hours in a month are used (including rolled-over hours), additional hours can be purchased.
2.1.7 Hours from future months cannot be used in advance.
2.2. Membership:
2.2.1. Membership payments must be made in full before any work commences.
2.2.2. Rates for additional hours are tier-based, and determined by the hourly rate for your membership plan.
• Basic Membership (Monthly Payment Plan) Additional Hourly Rate: £61.25
• Standard Membership (Monthly Payment Plan) Additional Hourly Rate: £55.00
• Pro Membership (Monthly Payment Plan) Additional Hourly Rate: £50.00
• Basic Membership (Annual Payment Plan) Additional Hourly Rate: £55.00
• Standard Membership (Annual Payment Plan) Additional Hourly Rate: £48.75
• Pro Membership (Annual Payment Plan) Additional Hourly Rate: £41.25
2.2.3. If a client is not on a membership tier, including if their membership is paused or cancelled, then Designworks will charge their standard hourly rate of £75.00/hour for any requested work unless stated otherwise in writing by Designworks.
2.2.3. If any payments are to be in any currency other than Great-British Pound (£/GBP), then the price is subject to Designworks decision. The daily currency conversion rate will be taken into account by Designworks but due to currency volatility, the amount due will not always align with the daily rate. Additional currency transaction fees will also be applied. Designworks will always do their best to provide competitive pricing for clients paying in alternative currencies.
2.2.4. Price change policy, please see section 4.6.

2.3. Changing Membership Tier:
2.3.1. Clients can request a change to their membership tier at any time.
2.3.2. If a membership change is requested mid-payment cycle, it will be effective immediately upon confirmation of Designworks approval.
2.3.3. If hours from the previous subscription remain, they will be rolled over to the next month and will last only for one month.
3. File Retention:
3.1. After project delivery, backup files will be retained on the Designworks system for a period of 6 months.
3.2. After 6 months, Designworks will not be responsible for storing backups of any past project files. All files may be archived.
4. Invoices and Payment:
4.1. Any invoices received from Designworks must be paid in full within 30 days of the invoice date unless stated otherwise by Designworks.
4.2. If 4.1 is not abided to, a 15% late fee will be applied, effective immediately. 15% will be charge for each additional 30 day period of missed-payment. For each late payment charge, late fees will be compounded on the previous late fee.
4.3. We value prompt payments and encourage open communication to address any payment concerns promptly. Failure to settle outstanding balances may result in the suspension of services.
4.4. By selecting a membership tier, you agree to recurring payments for the chosen tier’s monthly or annual subscription fee. These payments will be automatically charged to the payment method provided by you at the time of subscription signup. You understand these recurring payments will continue until you decide to cancel your membership in accordance with the cancelation terms outlined in section 7 of these terms.
4.5. If payment information becomes outdated or invalid for any reason, throughout a membership period and sufficient attempts to resolve the payment issue have not been made, Designworks will pause all work and deliverables until payment information is up-do-date.
4.6. Designworks reserves the right to modify its pricing for services, memberships and additional hours at it’s discretion. In the event of any pricing adjustments, we will make reasonable efforts to notify clients in advance, providing sufficient notice to allow for awareness and consideration of the changes. We value transparency and aim to maintain competitive and fair pricing for our valued clients. Please feel free to reach out to us if you have any questions or concerns regarding pricing adjustments.
5. Refund Policy
5.1. Refunds for any services will not be accepted.
5.2. In exceptional cases, should a refund be granted by Designworks, any approved refunds will be processed and refunded within 30 days from the date of the refund was approved. Please note that a 6.5% payment processing fee may be charged for any refunds granted, which will be deducted from the refund amount. Refunds will be issued to the original payment method used for the subscription payment.
6. Single One-Off Services:
6.1. For single one-off services, 50% of the total project cost is due upfront before Designworks initiates any work, unless stated otherwise by Designworks in writing.
6.2. The remaining 50% of the project cost will be invoiced upon project completion and must be paid within 30 days.
6.3. Late payments for the remaining balance will incur a 15% late fee and section 4.2 applies.
6.4. Ownership and intellectual property rights of the designs will remain with Designworks until 100% of the final agreed payment is received.
6.5. Confirmation of ownership and intellectual property rights of any completed designs can be provided by Designworks to the Client upon receiving 100% of the final payment.
7. Use of work:
7.1. Designworks reserves the right to display all completed work for clients on our website and social media for promotional purposes. We may also use these materials in marketing materials to showcase our services. If you have any concerns about the display of your work, please let us know.
8. Cancelation Policy:
8.1. If a client chooses to cancel their subscription, they will not be eligible for reimbursement of any unused hours, additional paid for hours or membership fees.
8.2. For both monthly and annual subscriptions, a minimum of 30 days’ notice is required for cancellation.
9. Amendments:
9.1. Designworks reserves the right to update these terms and conditions at any time. Clients will be notified of any changes, and the revised terms will be effective immediately upon notification.
10. Privacy:
10.1. Designworks takes privacy seriously and is committed to safeguarding your privacy and any personal information. By using Designworks services, you agree to the privacy policy on the Designworks website.

11. Termination:
11.1. Designworks reserves the right to terminate services or memberships for any violation of these terms and conditions, without refund.
12. Governing Law:
12.1 This Agreement shall be governed by and construed in accordance with the laws, and any disputes shall be subject to the exclusive jurisdiction of the courts.
